Boston Scientific to Acquire Vertiflex for its Superion Indirect Decompression System

• Boston acquires Vertiflex, in all-stock transaction. Vertiflex to receive $465M upfront and commercial milestones for 3yrs. with the expected closure of acquisition in Q2’19
• The focus of the acquisition is to expand Boston’s interventional pain therapies portfolio with the addition of Vertiflex’s Superion Indirect Decompression System
• The Superion Systems creates space between spinous processes of the vertebra, proven to be durable for up to 48mos., providing patients with a reduction in leg pain by 79% and has received FDA’s approval in 2015 for patients with moderate degenerative lumbar spinal stenosis
